Elop, a former executive with Adobe Systems and Juniper Networks, headed Microsoft's business division from 2008 to 2010 when he took Nokia's top job.
Elop was among the people being speculated about as a possible replacement for Microsoft CEO Steve Ballmer, who announced recently that he will step down in coming months.
The deal could have real estate implications in Silicon Valley, where Microsoft has a large campus in Mountain View and Nokia has offices in Sunnyvale Town Center and a research office in Palo Alto.
One of Elop's biggest moves as Nokia CEO was an agreement to use Microsoft's Windows mobile operating system on his company's smartphones.
At closing — expected to be in the first quarter of 2014, some 32,000 people are expected to transfer to Microsoft, including 4,700 people in Finland and 18,300 employees directly involved in manufacturing, assembly and packaging of products worldwide, the companies said in a news release.
